Terms of Service

By accessing or using Ferra, the website at ferra.co, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you represent a company or other legal entity, you warrant that you have the authority to bind that entity. If you do not agree with these Terms, you may not access the Service.

Ferra lets you describe, in plain English, what you want to track. Ferra builds a table with the right columns and fills the rows using the files you upload, the emails you forward, connected apps, and public web sources. Offerings include:

• Table creation from a plain-English description
• Automatic column detection and row-filling from your files, emails, and connected sources
• An assistant that answers questions about your tables in plain English, with sources
• Charts and dashboards built from your questions
• Automations that act when your data changes

Available features depend on your subscription plan.

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your credentials and for all activity on your account. Report any unauthorized use immediately.

We reserve the right to modify pricing with at least thirty (30) days’ prior written notice. Price adjustments take effect at the start of your next billing cycle.

All fees are due according to the billing frequency stated in your subscription plan. Payments are non-refundable except as expressly stated in these Terms or required by applicable law. Non-payment may result in suspension or termination of access. You are responsible for any applicable taxes.

The Ferra free plan is free forever, subject to the usage limits described on our pricing page. We may also offer demos or trial periods at our discretion, subject to any additional terms specified at enrollment. We reserve the right to modify, suspend, or discontinue trials without notice.

You agree not to:

• Violate applicable local, national, or international law
• Upload, transmit, or distribute unlawful, harmful, threatening, defamatory, or objectionable content
• Attempt unauthorized access to the Service or related systems
• Interfere with the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble the Service
• Develop a competing product using the Service
• Resell, sublicense, or redistribute the Service without our written consent
• Use automated means (bots, scrapers) except through our provided APIs

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described there.

8.1 Your Data

You retain all rights to the data you submit to the Service ("Your Data"): your tables, your uploaded files, and everything you enter. You grant us a limited, non-exclusive license to use, process, and store Your Data solely to provide and improve the Service. We do not sell Your Data to third parties.

8.2 Table and Source Data

The Service processes the data you provide to build and fill your tables, including uploaded files, forwarded emails, connected app data, and related business communications. You represent that you have the necessary rights and authorization to submit this data and allow us to process it.

8.3 AI Processing

The Service uses artificial intelligence and machine learning to interpret your descriptions, build tables, fill rows from your sources, answer questions, and generate charts and automations. You are responsible for reviewing and validating all AI-generated outputs.

The Service, including all software, algorithms, designs, text, graphics, and other materials, is the proprietary property of Try PromptLab, Inc. and is protected by intellectual property laws. Nothing in these Terms grants you rights beyond the limited authorization to use the Service.

Each party agrees to maintain the confidentiality of the other party’s confidential information and not to disclose it to any third party without prior written consent, except as required by law. Protected information includes pricing data, source data, business strategies, trade secrets, and proprietary processes.

We endeavor to maintain the availability of the Service but do not guarantee uninterrupted or error-free operation. Maintenance, updates, or security measures may temporarily suspend access. We will provide reasonable advance notice for planned downtime. Liability for interruptions is disclaimed.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRY PROMPTLAB, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID US DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We make no warranty regarding the accuracy or suitability of AI-generated outputs, including filled rows, answers, or charts.

You agree to indemnify, defend, and hold harmless Try PromptLab, Inc., its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney’s fees) arising from your use of the Service, your violation of these Terms, your violation of any third party’s rights, or content you submit.

These Terms remain in effect while you use the Service. Either party may terminate a subscription according to its plan terms. We may suspend or terminate access immediately for a breach of these Terms. Upon termination, your right to use the Service ends. We will make Your Data available for export for thirty (30) days following termination, after which we may delete it.

These Terms are governed by and construed in accordance with the laws of the Republic of Uzbekistan. Any dispute arising out of or in connection with these Terms will first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute will be submitted to the competent courts of the Republic of Uzbekistan.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date above. Continued use of the Service after a change means you accept the revised Terms.

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable order forms or service agreements, constitute the entire agreement between you and us regarding the Service.

18.2 Severability

If any provision of these Terms is found invalid or unenforceable, it will be limited or eliminated to the minimum extent necessary, and the remaining provisions will stay in full effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

18.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

18.5 Force Majeure

We are not liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including natural disasters, acts of government, internet disruptions, pandemics, or third-party service failures.
